BlueClerk User Terms of Use

1. Acceptance of Terms

These BlueClerk User Terms of Use ("Agreement") govern your access to and use of the BlueClerk platform, including the website at https://blueclerk.com/, the web application at https://app.blueclerk.com/, and any associated mobile applications (collectively, the "Services"), as a "User." A User is any person or entity that accesses or uses the Services in any capacity other than as a Service Provider (contractor). This includes, without limitation, property owners, homeowners, builders, developers, businesses, and any other party who uses the platform to view property history, submit or approve job requests, receive invoices, or make payments. These Services are operated by Norton Holdings, Inc. dba BlueClerk, a Texas corporation ("BlueClerk," "we," "us," or "our"). BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES. This Agreement should be read together with our Privacy Policy (https://blueclerk.com/legal/privacy-policy) and our general Terms of Use (https://blueclerk.com/legal/terms-of-use), each incorporated herein by reference. If you are a contractor or service provider, your relationship with BlueClerk is separately governed by the Service Provider's User Agreement at https://blueclerk.com/legal/service-provider-agreement.

2. BlueClerk Is a Platform, Not a Contractor

BlueClerk is a technology platform that connects Users with independent contractors. BlueClerk does not itself perform any contracting, construction, repair, maintenance, or other field services. BlueClerk does not employ, supervise, direct, or control any contractor who performs work through the platform. ALL SERVICES PERFORMED ON YOUR PROPERTY ARE PROVIDED SOLELY BY INDEPENDENT CONTRACTORS WHO ARE NOT EMPLOYEES, AGENTS, OR REPRESENTATIVES OF BLUECLERK. BLUECLERK MAKES NO WARRANTY, REPRESENTATION, OR GUARANTEE REGARDING THE QUALITY, TIMELINESS, SAFETY, LICENSING, INSURANCE STATUS, OR ANY OTHER ASPECT OF WORK PERFORMED BY CONTRACTORS. YOUR DECISION TO ENGAGE A CONTRACTOR THROUGH THE PLATFORM IS MADE ENTIRELY AT YOUR OWN RISK. BlueClerk does not verify contractor licensing, insurance, bonding, or background information unless expressly stated. You are responsible for independently verifying the credentials and suitability of any contractor before engaging their services.

3. Your Account

To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify BlueClerk immediately at support@blueclerk.com if you become aware of any unauthorized use of your account. BlueClerk reserves the right to suspend or terminate any account at any time, with or without notice, for violation of this Agreement or for any other reason at BlueClerk's sole discretion.

4. Property Data and Work History

A core feature of BlueClerk is a permanent, property-centric work history — a record of services associated with a specific property address, regardless of which contractor performed the work or who owned the property at any given time. By using the Services in connection with a property, you acknowledge and agree that: • Property work history, job records, and associated documentation are permanently tied to the property address, not to any individual user account. This history persists regardless of changes in ownership or contractor relationships. • Future owners or authorized Users of a property may be able to access that property's complete service history, including records predating their ownership or association with the property. • If you transfer or sell a property, its work history on the platform remains associated with that address and may be accessible to parties who subsequently use the platform in connection with that property. • BlueClerk does not guarantee the accuracy, completeness, or timeliness of property records. Records reflect information entered by contractors and Users and have not been independently verified by BlueClerk. • Builder, subdivision, and address data are shared across the platform and are not siloed to individual contractor accounts. This is a fundamental part of how the platform is architected.

5. Data Sharing

BlueClerk operates on the principle that property-related data is shared among parties with a legitimate interest in that property. By using the Services, you consent to the following: • Your name, email address, and contact information may be shared with contractors assigned to work associated with your property, solely to facilitate the service relationship. • Job requests you create or approve may be visible to contractors you invite or who are assigned to your property. • Your property address and service records are accessible to any contractor authorized to perform work on that property through the platform. • BlueClerk does not sell your personal information to third parties for advertising purposes. 6. Electronic Communications; SMS and Email Consent

By creating an account or providing your contact information through the Services, you expressly consent to receive electronic communications from BlueClerk via email, SMS text message, and push notification. These communications may include transactional messages (job confirmations, status updates, invoice delivery, payment receipts, account alerts), operational messages (platform updates, policy changes, security notices), and marketing messages (new features, promotions). Email is delivered via Amazon Web Services Simple Email Service (SES). Standard carrier messaging and data rates may apply to SMS. This consent is not a condition of using the Services. You may opt out of marketing SMS at any time by replying “STOP” to any text from us (reply “HELP” for assistance), and out of marketing emails by clicking the unsubscribe link. Opting out of transactional messages may impair your ability to use the Services. BlueClerk complies with the TCPA and CAN-SPAM Act.

7. Payments

BlueClerk provides functionality that allows Users to pay contractor invoices through the platform. The following applies: • All payments are transactions solely between you and the contractor. BlueClerk is not a party to the financial transaction and takes no commission or fee. • BlueClerk does not collect, store, or process your payment card or bank account information directly. All payment data is handled by third-party processors including Stripe, Inc., Square, Inc., and Intuit QuickBooks Payments. • BlueClerk is not responsible for payment disputes, failed transactions, chargebacks, or fraud arising between Users and contractors. Disputes should be resolved directly with the contractor or your financial institution. • Venmo peer-to-peer payments initiated through platform links are governed solely by Venmo's own terms of service.

8. Prohibited Uses

You agree not to use the Services to: • Submit false or misleading property information or job requests • Impersonate another person, property owner, or business • Access records or accounts you are not authorized to view • Use automated tools or scrapers to collect platform data without BlueClerk's prior written consent • Violate any applicable federal, state, or local law

9. Intellectual Property

The BlueClerk platform, including its software, design, content, and documentation, is owned by Norton Holdings, Inc. and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for their intended purpose. You may not reproduce, modify, distribute, or create derivative works from any part of the platform without BlueClerk's prior written consent.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. BLUECLERK DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT PROPERTY HISTORY AND JOB RECORDS ARE ACCURATE, COMPLETE, OR CURRENT.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BLUECLERK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICES, ANY CONTRACTOR'S PERFORMANCE OR FAILURE TO PERFORM, ANY PAYMENT TRANSACTION, OR ANY PROPERTY DATA ON THE PLATFORM. BLUECLERK'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

12. Indemnification

You agree to indemnify, defend, and hold harmless BlueClerk and its officers, directors, employees, and agents from any claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of this Agreement; or (c) any dispute between you and a contractor regarding services performed on your property.

13. Modifications

BlueClerk may modify this Agreement at any time. We will provide notice by email or by posting on the platform. Continued use of the Services after notice constitutes acceptance of the updated Agreement.

14. Governing Law

This Agreement is governed by the laws of the State of Texas. Any disputes shall be resolved exclusively in the state or federal courts in Travis County, Texas.
